Terms of Service

Last Updated: November 3, 2026

Agreement to These Terms

SiteGrader ("SiteGrader," "we," "our," or "us") is a division of Morgan Ventures, Inc., a North Carolina corporation. These Terms of Service (the "Terms") govern your use of the SiteGrader website, reports, free tools, dashboard, alerts, API, and related services (together, the "Services"). By joining the waitlist, creating an account, grading a site, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. When we do, we will revise the "last updated" date at the top of this document, and your continued use of the Services after changes are published means you accept the updated Terms.

What SiteGrader Is

SiteGrader grades websites. It reads what a website's public homepage serves, along with its robots.txt and public records such as its certificate and DNS, and publishes an evidence-based report: a grade, a ranking against similar sites, and a list of what to fix. Members can follow the sites they look after, and SiteGrader checks them about once a day and tells them what changed.

SiteGrader is deliberately not a full SEO crawl, an accessibility or legal compliance audit, a malware or vulnerability scan, a penetration test, or an uptime monitor, and it does not guarantee search rankings, traffic, conversions, uptime, compliance, or security.

Waitlist and Early Access

Before general availability, we operate a waitlist. Joining the waitlist means we will store your email address and contact you about availability, per our Privacy Policy. A waitlist place does not guarantee access, pricing, or launch timing. Early-access features may change or be withdrawn without notice.

Accounts

You must provide accurate account information and keep it current. You are responsible for the security of the email account you sign in with and for all activity under your account. If you create or sign in to your account through a third-party provider such as Google or GitHub, you are also responsible for keeping that provider account secure, and your use of it remains subject to the provider's own terms. Notify us promptly if you believe your account has been compromised. We may suspend or terminate access if account information is inaccurate, your use creates risk for the Services or others, or you violate these Terms.

Sites You Submit

When you submit a domain or web address, you represent that you are using the Services for a lawful purpose and that the address is a public website. Do not submit private, internal, or unauthorized addresses. We may reject, rate-limit, or refuse to process any submission that appears unsafe, abusive, private, or harmful to the Services or to others.

Reports

Reports are public. Anyone can open and share them, and search engines may list them. Each report is based on what SiteGrader could observe when it read the site. Websites can change, block requests, or answer different visitors differently, so a report may be partial or limited, and it says so when it is. Reports may include short excerpts and a picture of the homepage's first screen, and we store the evidence behind each grade so its history can be shown. We may correct, hide, or remove a report at our discretion.

Daily Checks and Alerts

For the sites you follow, SiteGrader checks the homepage, robots.txt, certificate, and DNS about once a day, and the domain's registration and the homepage's grade about once a week. It is not an uptime monitor: a problem can begin and end between checks. We confirm what we saw before alerting you, but alerts and summaries are provided on a best-effort basis and may be late, missed, or wrong, and a site that turns SiteGrader away cannot be checked. Do not rely on SiteGrader as your only warning of an outage, a security problem, or a search engine issue. Configure only Slack addresses you control or are authorized to use; you are responsible for where they post.

Using Our Reports

You may use the Services and what you get from them for your own personal or internal business purposes, including sharing reports with your clients, and you may link to reports or quote individual results if you name SiteGrader as the source. Some data comes from third parties, such as Google, and remains subject to its source's terms.

Acceptable Use

You may not, unless we agree otherwise in writing:

  • Use the Services to attack, overload, or probe websites or networks, to test credentials, or to reach private or internal systems;
  • Scan sites or copy reports in bulk, by scraping, automation, or any other way around the limits of the website or the API;
  • Resell, license, or republish our reports or rankings, or use them to build a competing service or dataset;
  • Say or imply that a grade or ranking is an endorsement or certification by SiteGrader, or present a report as current when it is not;
  • Use the Services to harass, defame, or defraud anyone, or to send spam;
  • Probe, overload, disrupt, or interfere with the Services, or circumvent rate limits or other abuse controls;
  • Misrepresent who you are or impersonate another person or organization.

Website Owners

SiteGraderBot requests only public pages and names itself in every request; SiteGraderBot explains what it requests and how robots.txt stops it. If you own a website, you can hide its reports and stop SiteGrader grading or checking it at Remove a site, free and without an account, or with a robots.txt group for SiteGraderBot. We honor both.

Plans and Fees

The Services may include free and paid plans. If we introduce paid plans, pricing and included usage will be presented before you are charged, and billing, renewal, cancellation, and refund terms will be described at checkout. We may establish reasonable limits on use of the Services (including the number of scans, followed sites, and API requests) and may adjust limits to protect the Services.

Availability and Changes

We may modify, suspend, or discontinue all or part of the Services at any time. The Services may be unavailable due to maintenance, updates, outages, or events outside our control. Third-party services that parts of a report rely on, such as Google's, may be unavailable or limited, and a report then says what it could not measure.

Intellectual Property; Suggestions

We and our licensors own the Services and all related intellectual-property rights, including the SiteGrader name, logo, report design, and scoring. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services as these Terms allow; they transfer no ownership. "SiteGrader" and the SiteGrader logo are trademarks of Morgan Ventures, Inc.; do not use them without written permission. We do not claim ownership of the websites we analyze: their names, trademarks, content, and the excerpts and pictures shown in reports remain their owners'. If you send us suggestions or ideas about SiteGrader, we may use them without restriction or compensation.

Copyright Complaints

If you believe something in the Services infringes your copyright, contact us or write to Morgan Ventures, Inc., 13200 Strickland Rd, #114-199, Raleigh, NC 27613. Include your name and contact details, the work you say is infringed, the page where the material appears, a statement that you believe in good faith that the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or may act for the owner, and your signature. We may end the access of anyone who infringes repeatedly.

Other Websites

The Services link to other websites and show information about them. We do not control them and are not responsible for what they contain or do, including their availability, security, redirects, or responses.

Termination

You may stop using the Services at any time, and you can delete your account in Settings. We may suspend or terminate the Services or your account for violation of these Terms, risk to the Services or others, or extended non-payment on a paid plan.

Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we and our suppliers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free, that any grade, ranking, or report will be complete, accurate, or current, or that any check, alert, or email will always run or be delivered.

Limitation of Liability

To the fullest extent permitted by law, we and our suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost goodwill, lost data, business interruption, changes in search rankings, traffic, or conversions, outages, or missed or mistaken alerts, arising from or related to the Services. Our total liability for all claims relating to the Services will not exceed the amounts you paid us for the Services in the twelve (12) months before the claim, or one hundred U.S. dollars ($100) if you have paid nothing.

Indemnity

You will defend, indemnify, and hold harmless SiteGrader, Morgan Ventures, Inc., and their officers, employees, and agents from claims, damages, expenses, and liabilities arising from the sites you submit, your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law and General Terms

These Terms are governed by the laws of the State of North Carolina, excluding conflict-of-law rules. Exclusive jurisdiction and venue for disputes lie in the state and federal courts located in Raleigh, North Carolina, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect; our failure to enforce a provision is not a waiver. Sections that by their nature should survive termination (including Acceptable Use, Disclaimer of Warranties, Limitation of Liability, Indemnity, and this section) survive.
